A contract between the client and SM Web Power SRL is considered concluded when an order is confirmed or an individual agreement is signed.
Services will be delivered according to the details agreed in the proposal, project brief, or signed contract.
The client is responsible for providing all necessary information and materials required to complete the project.
Service prices are determined individually based on project complexity.
Payments are made exclusively by bank transfer, based on the issued invoice.
Payment deadlines are specified on the invoice; failure to pay on time may result in penalties or suspension of services.
Project timelines depend on complexity and on the timely provision of necessary materials by the client.
Any changes to delivery deadlines will be communicated and confirmed in writing.
SM Web Power agrees to:
Deliver services as agreed;
Maintain the confidentiality of client information;
Provide deliverables according to established conditions.
The Client agrees to:
Provide accurate, complete, and timely information and materials;
Pay the agreed fees within the specified deadlines;
Use the delivered services and materials only for agreed and lawful purposes.
The client may request termination of the contract or cancellation of services in accordance with the agreed terms.
If services have already commenced with the client’s express consent, the right of withdrawal may be limited.
Payments made are non-refundable once the work has begun; services delivered up to that point will be invoiced.
SM Web Power SRL shall not be held liable for indirect losses, lost profits, or missed business opportunities arising from the use of its services.
Our total liability is limited to the value of the specific contract.
Copyright and intellectual property rights to websites, marketing materials, texts, or designs created by SM Web Power SRL are transferred to the client only after full payment of services.
The client may not resell, redistribute, or sublicense materials without prior written consent from SM Web Power SRL.
Both parties agree to maintain confidentiality regarding all information obtained during the collaboration.
SM Web Power SRL processes personal data in compliance with applicable laws, including the EU General Data Protection Regulation (GDPR) and UK GDPR. For clients in the US, we also follow best practices aligned with state-level data protection requirements (e.g., CCPA in California, where applicable).
These Terms and Conditions are governed by the laws of Romania.
Any disputes will first be addressed amicably. If no resolution is reached, the dispute shall be submitted to the competent courts in Romania.
For clients based in the EU, UK, or US, alternative dispute resolution (ADR) or mediation may also be used, depending on local regulations.
